REV Exploration Signs LOI to Expand into Montana, Targeting Helium and Natural Hydrogen

REV Exploration Corp. (TSXV: REVX | OTC: REVFF) has entered into a non-binding Letter of Intent to acquire oil and gas leasehold interests in the Sweet Grass Hills area of Montana, marking a strategic expansion of its U.S. footprint focused on helium and natural hydrogen. The proposed transaction involves the acquisition of properties held by a publicly listed helium company and would significantly scale REV’s land position in the Northern Great Plains.

Under the terms of the LOI dated January 23, 2026, REV would acquire the Montana properties through a combination of cash and equity consideration, consisting of a USD $250,000 cash payment and the issuance of common shares with an aggregate deemed value of USD $300,000 at closing. Completion of the transaction remains subject to the negotiation and execution of a definitive agreement, satisfaction of customary closing conditions, and receipt of all required regulatory approvals, including acceptance by the TSX Venture Exchange.

The Montana land package is directly complementary to REV’s drill-ready Aden Dome Project in southeast Alberta along the Montana border. If completed, the transaction would nearly quadruple REV’s total landholdings from approximately 4,845 acres to roughly 18,998 acres, establishing a more contiguous and strategically aligned position across the Alberta–Montana region. Management views the Sweet Grass Hills acquisition as a natural extension of its existing asset base, with relevance to both helium and natural hydrogen system evaluation.

VANCOUVER, British Columbia, February 4, 2026: REV Exploration Corp. (“REV” or the “Company”) (TSXV: REVX; OCTID: REVFF) is pleased to announce that it has entered into a non-binding Letter of Intent (LOI) dated January 23, 2026 (the “LOI”) to acquire certain oil and gas leasehold interests (the “Properties”) held by a publicly listed helium company (the “Vendor”) in the Sweet Grass Hills area of Montana (the “Transaction”).

The LOI sets forth the terms and conditions upon which the Company and the Vendor will complete the Transaction as follows:

  • A cash payment of USD $250,000 payable to the Vendor on closing; and
  • The issuance to the Vendor of common shares of the Company having an aggregate deemed value of USD $300,000 on closing.

Closing of the Transaction will be subject to, among other things, the execution of a definitive agreement, satisfaction of customary closing conditions, and receipt of required regulatory approvals, including acceptance by the TSX Venture Exchange.

The Montana land package is complementary to REV’s flagship and drill-ready Aden Dome Project in southeast Alberta along the Montana border and represents a strategic new focus on America’s Northern Great Plains states, targeting helium and natural hydrogen.
